Terms of Use

1. Acceptance of Terms

By downloading, installing, or using the Bili mobile application ("App"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, do not use the App. Our Privacy Policy is incorporated into these Terms and is available at Section 18 below.

2. Description of Service

Bili is a mobile application developed by Bili Finance, LLC that helps users build smarter spending habits and understand the long-term opportunity cost of purchases. The current version of the App includes:

• Opportunity Cost: Illustrative calculations showing what spending could represent if invested, based on historical market averages
• Bank linking (Plaid): Read-only connection to your financial accounts for automatic transaction sync and analysis
• AI spending analysis: Categorization, necessary vs. unnecessary tagging, recurring charge detection, and spending trends
• AI Advisor: Conversational financial wellness guidance (text and optional voice) using context from your linked financial data
• Financial Health Score: A holistic metric tailored to your primary financial goal
• Accountability tools: Spending alerts, "Is it worth it?" calculator, avoided-purchase tracking, streaks, and milestones
• Learning content: Educational guides on investing basics, compounding, the S&P 500, and a searchable glossary
• Bili Pro: A subscription that unlocks bank linking, AI analysis, unlimited Advisor chat, and related Pro features

Brokerage and securities trading features are not available in the current version of the App. We may add investment account features in future releases, subject to applicable regulations and separate agreements.

3. Financial Disclaimers

3.1 Calculation Methodology

• Calculations are based on historical market averages (default: historical S&P 500 performance)
• Past performance does not guarantee future results
• Actual investment returns may vary significantly
• Investing involves risk, including potential loss of principal

3.2 No Guarantees

We make no representations or warranties about the accuracy of calculations, market projections, or financial outcomes. Users acknowledge that market conditions are unpredictable, returns are not guaranteed, and the App's models are educational simplifications.

4. User Responsibilities

4.1 Appropriate Use

You agree to use the App only for lawful purposes and in accordance with these Terms. You are responsible for providing accurate information, understanding the illustrative nature of calculations, and making independent financial decisions.

4.2 Prohibited Activities

You may not use the App for illegal activities, attempt to reverse engineer or modify the App, share or distribute the App without permission, or rely on the App's calculations as the sole basis for investment or spending decisions.

5. Privacy and Data

Bili collects, transmits, and stores personal and financial information on our secure servers to operate the App. We also use third-party service providers as described in Section 18 (Privacy Policy). A summary of our practices:

• Account and profile data (email, name, goals, demographics) are stored on Bili servers
• Plaid-linked transaction and account data are stored on Bili servers for analysis and Advisor context
• Usage analytics (screen views, feature interactions) are tied to your account to improve the App
• We do not sell your personal information

6. Intellectual Property

The App, including its design, functionality, and content, is owned by Bili Finance, LLC and is protected by copyright and other intellectual property laws. You receive a limited, non-exclusive license to use the App for personal purposes only.

7. Disclaimers and Limitations

7.1 "As Is" Basis

The App is provided "as is" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

7.2 Limitation of Liability

To the maximum extent permitted by law, Bili Finance, LLC and its subsidiaries shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or investment losses, arising from your use of the App.

7.3 Maximum Liability

Our total liability to you for any damages arising from or related to these Terms or the App shall not exceed the amount you paid for the App or Bili Pro subscription in the twelve (12) months preceding the claim.

8. Indemnification

You agree to indemnify and hold harmless Bili Finance, LLC, its subsidiaries, and the App developers from any claims, damages, or expenses arising from your use of the App or violation of these Terms.

9. Updates and Changes

9.1 App Updates

We may update the App from time to time to improve functionality, fix bugs, or add features. Updates may be required for continued use.

9.2 Terms Changes

We reserve the right to modify these Terms at any time. Changes will be effective upon posting at https://heybili.com/terms. Continued use of the App constitutes acceptance of modified Terms.

10. Termination

These Terms remain in effect until terminated. You may stop using the App at any time. To permanently delete your account and associated personal data, use the in-app account deletion flow described in Section 16. Uninstalling the App alone does not delete your server-side account. We may suspend or terminate your access if you violate these Terms.

11. Governing Law

These Terms are governed by the laws of the State of Arizona, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in Arizona, except where prohibited by applicable law.

12. Registered Investment Adviser and Financial Disclosures

12.1 Current App Scope

The current version of the App provides spending analysis, educational content, and AI-assisted financial wellness tools. It does not offer securities transactions, brokerage accounts, or investment order execution. References to investing, market returns, or securities in the App are for educational and illustrative purposes unless and until separate brokerage features are made available and you enter into applicable agreements.

12.2 AI Advisor

The AI Advisor uses information from your linked accounts and profile to provide personalized financial wellness guidance within the App. This guidance is intended to help you understand your spending and build better habits. It is not a substitute for professional advice tailored to complex tax, legal, estate, or investment situations. You are solely responsible for evaluating any information and making your own financial decisions.

12.3 What Bili Does Not Provide

Unless explicitly stated in a separate agreement for a specific feature, Bili does not constitute and should not be construed as:

• A recommendation to buy, sell, or hold any specific security
• Tax, legal, or accounting advice
• An offer or solicitation to buy or sell any security
• A guarantee of any financial outcome

12.4 Past Performance and No Guarantees

Any references to historical returns, back-tested performance, or hypothetical results (including S&P 500 or other indices) are for educational illustration only. Past performance does not guarantee future results. Actual investment returns will vary and may be lower or negative. Investing involves risk, including the risk of loss of principal.

12.5 Consult a Qualified Professional

You should consult your own qualified financial, tax, legal, or other professional advisers before making significant financial or investment decisions.

13. Bili Pro Subscription

Bili Pro is an auto-renewing subscription available through the Apple App Store. Key terms:

• Free trial: New subscribers may receive a 7-day free trial. If you do not cancel before the trial ends, you will be charged the subscription price shown at purchase.
• Billing: Payment is charged to your Apple ID account. Subscriptions renew automatically unless cancelled at least 24 hours before the end of the current period.
• Cancellation: Manage or cancel your subscription in iOS Settings → [Your Name] → Subscriptions.
• Restore Purchases: Use the "Restore Purchases" option in the App if you reinstall or switch devices.
• Refunds: Refund requests are handled by Apple per App Store policies.

Pro features include secure bank linking, AI-powered transaction analysis, unlimited Advisor chat with full financial context, smart spending notifications, and weekly reports, as described in the App.

14. Plaid Bank Linking

When you connect a bank account, you use Plaid Link to authenticate with your financial institution. Important terms:

• Bili receives read-only access to account and transaction data through Plaid
• Bili never stores your bank login credentials; Plaid handles authentication
• You may unlink accounts or delete transaction data through in-app settings
• Plaid's handling of your data is governed by the Plaid End User Privacy Policy

15. AI Advisor and Voice

The AI Advisor is powered by third-party artificial intelligence services (xAI or Anthropic). When you use the Advisor:

• Your messages and relevant financial context (spending, goals, balances, etc.) are transmitted to our servers and to AI providers to generate responses
• Voice mode: If you enable voice, the App uses your device microphone to capture audio, which is streamed to AI providers for real-time conversation. You can disable voice at any time.
• AI responses may contain errors or omissions. Do not rely on AI output as the sole basis for financial decisions.

16. Account Deletion

You may permanently delete your account from within the App:

1. Open Settings
2. Scroll to Delete Account at the bottom
3. Confirm and verify with a one-time code sent to your email

Upon deletion:

• Deleted: Your email, name, Plaid tokens, device credentials, support messages, and other personally identifiable information
• Anonymized: Usage analytics, transaction history, and similar operational data are disassociated from your identity and retained indefinitely in anonymized form for product improvement and compliance
• Marketing: Your email is removed from our marketing lists

Uninstalling the App does not delete your account. You must use the in-app deletion flow to remove your data from our servers.

17. The Blog (AI-Generated Content)

Bili's website may include a blog or other articles ("Blog Content"). Blog Content may be generated in whole or in part using artificial intelligence tools and is provided for general education and entertainment only. It does not constitute financial, investment, tax, or legal advice. Bili does not guarantee the accuracy, completeness, or timeliness of Blog Content.

18. Privacy Policy

18.1 Information We Collect

Bili collects information necessary to provide the App. This includes:

Account and profile information

• Email address, first name, and optional last name
• Date of birth, age range, income range, U.S. state, and primary financial goal
• Sign-in method (email, Sign in with Apple, or Google)
• Email and notification preferences

Financial information

• Plaid-linked account names, balances, and transaction details (amounts, merchants, dates, categories)
• Your edits to transaction categories, necessity tags, and manual entries
• Debt, income, and goal data you provide in the App

AI Advisor data

• Chat messages and conversation history
• Audio captured when you use optional voice mode
• Financial context sent to AI providers to generate responses

Usage and device information

• Screen views, button interactions, and feature usage (linked to your account)
• Device type, operating system version, timezone, and country
• App version and session identifiers
• Push notification device token

Subscription information

• Subscription status and purchase history via Apple and RevenueCat (Bili does not store payment card numbers)

18.2 How We Use Information

• Provide, maintain, and improve the App and its features
• Analyze spending, calculate Opportunity Cost, and power the AI Advisor
• Send transactional emails (sign-in codes, password reset, account deletion verification)
• Send push notifications about spending, goals, and subscription status (with your permission)
• Understand feature usage and fix bugs
• Comply with legal and regulatory obligations

18.3 Data Storage and Security

• Personal and financial data are stored on Bili's servers (hosted via mindshare.tools infrastructure) and in encrypted iOS Keychain for authentication tokens
• Face ID / passcode app lock is enforced locally on your device and does not transmit biometric data to Bili
• We use industry-standard security measures, but no system is 100% secure

18.4 Third-Party Service Providers

We share data with the following categories of providers to operate the App:

We do not sell your personal information. Third-party providers are bound by their own privacy policies and our data processing agreements where applicable.

18.5 Marketing Communications

We may add you to our marketing email list (via Mailchimp) to send product updates and financial wellness content. This is an opt-out model: you may unsubscribe at any time using the link in any marketing email or by contacting info@heybili.com. Transactional emails (sign-in codes, security alerts, account deletion) are sent regardless of marketing preferences.

18.6 Account Deletion and Data Retention

See Section 16 for how to delete your account. After deletion, personally identifiable information is removed and usage data is anonymized. Anonymized data may be retained indefinitely for product improvement, analytics, and compliance. We may also retain limited information as required by law.

18.7 Children's Privacy

Bili is intended for adults aged 18 and older. It is not directed at children under 13. We do not knowingly collect personal information from children under 13. If we become aware that a child under 13 has provided us with personal information, we will delete it promptly.

18.8 Your Rights

Depending on your location, you may have rights to access, correct, or delete your personal information. To exercise these rights, delete your account in-app or contact us at info@heybili.com.

18.9 Changes to Privacy Policy

We may update this Privacy Policy from time to time. Changes will be posted on this page with an updated "Last Updated" date. Continued use of the App after changes constitutes acceptance of the updated policy.

19. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

20. Entire Agreement

These Terms constitute the entire agreement between you and Bili Finance, LLC regarding the App and supersede all prior agreements or understandings, except for any separate brokerage or investment agreements that may apply to future features.
